Placeit License

About us and this license
1. This is the Placeit License (Placeit License) between you and Envato, which sets out the rights you are granted in the Placeit Templates that you use to create Customized Products.
2. The Placeit License, which supplements and forms part of the Placeit User Terms, forms a legally binding agreement between you and us in respect of your use of Placeit Templates. If there is an inconsistency between this Placeit License and the User Terms, the Placeit License will apply to the extent necessary to resolve the inconsistency.
3. By downloading or using any Placeit Templates, you agree that you have read and accept the terms of this Placeit License, either for yourself or on behalf of your employer or the entity that is identified as the Placeit account holder.
4. If you are creating a Product for a client (see section 8), you may grant a sublicense for each relevant Placeit Template to your client in order for your client to use that Product, so you must ensure that your client is informed of the terms of this Placeit License, as they will be bound by these terms as a sublicensee.
5. Any capitalized terms that are defined in the Placeit User Terms have the same meaning in this Placeit License (unless the context requires otherwise). Words like ‘include’ and ‘including’ are not words of limitation and where anything is ‘within our discretion’ we mean our sole discretion.
What can I do?
6. In exchange for each payment you make to us as a Subscriber or Buyer and your ongoing compliance with the Placeit User Terms, this Placeit License and any associated documentation or policies, we grant to you a non-exclusive, worldwide, revocable license to use the Placeit Templates to the extent required to:
- create Customized Products for use as part of End Products; and
- communicate the End Products to the public and broadcast, display, distribute and reproduce the Products in any and all media for all uses, subject to the terms and conditions of this Placeit License.
7. All rights, title and interest (including intellectual property rights) in and to the Placeit Templates is owned and/or controlled by the Group Companies. You can modify or manipulate a Placeit Template with the functionality provided on Placeit, including to combine the Placeit Template with other works (including Your Content) to create a Customized Product.
8. You are permitted to modify or manipulate a Customized Product and combine that Customized Product with other works, and by applying your skill and effort, create something that is larger in scope and different in nature than the Customized Product. We call this the ‘End Product’. The End Product is also subject to the terms of this Placeit License. Together or separately, we refer to Customized Products and End Products as ‘Products’.
Examples of End Products: publications, signage, packaging, websites, games, apps, presentations, online videos, films, TV shows, advertisements, posters, t-shirts and other merchandise.
9. You can create Products for yourself or for your clients. If you use a Placeit Template to create Products for a client, you may transfer the rights in the Products to a client by sublicensing the Placeit License in the Product to that client. The sublicense must only be granted on the condition that use by the client of the Placeit Template is limited to that use which is necessary in order to use the Product, so the Placeit Template must not be extracted, reproduced or used by the client in any other way.
It is important that you inform your client of the conditions of this Placeit License as part of your sublicense.
10. You can use Products for commercial purposes, which includes selling, sub-licensing or distributing the Products for any type of fee or charge.
11. You can use the Customized Product for merchandising, which means an End Product where the primary value of the product lies in the Customized Product itself.
12. You can make any number of End Products based upon a single Customized Product.
13. You may apply to register a Product you have created using a Placeit Template as part of a trade mark, provided that you have added standard characters to the Product and you are not claiming trade mark or service mark rights over the Placeit Template itself. However, we do not warrant that you will be able to obtain trademark protection in any country for any mark that you apply for on the basis of a Placeit Template (including as customized). This is because the Placeit Templates are made available to all of our users on a non-exclusive basis, and it’s quite possible that more than one user could legitimately use a Placeit Template to make the same (or a very similar) Customized Products or End Products.
What can’t I do?
14. You can’t re-distribute a Placeit Template as stock, in a tool or template, whether the Placeit Template is part of a Customized Product or not. You can’t re-distribute or make available a Placeit Template or Customized Product as-is or with superficial modifications.
For example, you can’t allow end users to customize and print their own merchandise using the Customized Product via an online service, or sell copies of the Customized Product as part of a stock item or template.
15. You can’t make available the Placeit Template through an application or service to end users on an “on demand”, stock or inventory, “made to order” or “build it yourself” basis.
Other license terms
16. You can only use the Placeit Templates and Products for lawful purposes, and in accordance with our Acceptable Use Policy.
17. Without limiting the generality of the Acceptable Use Policy, if a Product contains an image of a person, even if the Placeit Template is model-released, you can’t use it in a way that creates a fake identity, implies personal endorsement of a product by the person, or in a way that is defamatory, obscene or demeaning, or in connection with sensitive subjects.
18. We reserve all rights not expressly granted in this Placeit License. This means that any use of each Placeit Template is to be in accordance with the provisions of the Placeit User Terms and this Placeit License. You retain ownership of Your Content, being the material that you upload to the Placeit Service (such as photos, images or plain text words).
19. Certain components of the Placeit Template will be sourced from a third party and different license terms or other limitations may apply to such components, such as a third party license or an open source or creative commons license. That other license will apply to the relevant component. This Placeit License will apply to the rest of the Placeit Template, or Product as applicable. The notices required by those licenses are available here. Placeit may use images and names of third party products that have not been cleared for use by you and are only provided for illustrative purposes. Intellectual property rights in relation to those third party products (including registered trademarks) belong to their respective owners. We are not affiliated or associated with, or authorised or endorsed by, the owners of the products. It is your responsibility to evaluate whether your use of any component of a Placeit Template requires the permission of those third parties and if so, to obtain that permission prior to use.
20. We may terminate this Placeit License if you breach these terms, the Placeit User Terms, Acceptable Use Policy, or any associated documentation or policies. If that happens, you must stop making copies of or distributing the Products until you remove the Placeit Template components from it. At our discretion, we may terminate this Placeit License only in relation to the Customized Products and End Products to which a breach relates (rather than all Products).
21. We may modify this Placeit License at any time. We will post the most current version of this Placeit License on our website. By continuing to use Placeit and download Placeit Templates after the effective date of any changes to this Placeit License, you agree to be bound by the updated Placeit License.
22. This Placeit License is governed by and shall be construed in accordance with the laws of the State of New York, without regard to any conflict of laws principles.
